Philifast — Terms of Service

Effective date: November 15, 2025

1. Agreement and Scope

These Terms of Service ("Terms") constitute the agreement between you ("Customer", "you") and Philifast ("Philifast", "we", "us" or "our") governing your purchase of products and services from Philifast, including but not limited to PCB fabrication, PCBA assembly, component sourcing, testing, box‑build and related turnkey services (collectively, the "Services"). By placing an order, uploading files or otherwise using our Services you agree to be bound by these Terms.

2. Definitions

In these Terms, the following definitions apply: "Order" means a request by Customer for Services placed via our website, email or purchase order; "Goods" means the physical products (e.g., PCBs, assembled boards) manufactured under an Order; "Lead Time" means the estimated time from order confirmation to shipment; "BOM" means Bill of Materials; "DFM" means design-for-manufacture review.

3. Quotations and Orders

All quotations provided are valid for the period specified on the quote. A quotation does not constitute an offer. An Order is accepted by Philifast only when we issue an order confirmation, invoice, or when production commences. We reserve the right to refuse or cancel any Order for any reason, including inability to source components, export restrictions, or suspected fraud.

4. Prices, Taxes and Payment

Prices are as stated in our quotation or order confirmation. Unless otherwise agreed, payments are due in the currency specified on the invoice and must be made via the payment methods we accept. If payment terms are agreed, failure to pay by the due date may result in suspension of Services, interest charges and recovery costs.

Unless otherwise stated, prices exclude shipping, insurance, customs duties, taxes and other governmental fees, which are the responsibility of the Customer. For non‑domestic shipments, Customer is responsible for import duties and local taxes unless otherwise agreed.

5. Lead Times, Production and Delivery

Lead Times are estimates only and commence after receipt of complete, approved files and all required information, components (if consigned), and cleared payment as agreed. Standard lead times may vary by process, material, quantity and part availability. We will use reasonable efforts to meet estimated Lead Times but shall not be liable for delays beyond our reasonable control.

6. Files, DFM and Changes

Customer must provide accurate design files (Gerber, drill files), BOM, pick & place files and any assembly instructions. Philifast will perform a DFM review and may suggest changes or clarifications. Unless otherwise agreed, any change after order confirmation may result in extra charges and adjustments to Lead Time.

7. Component Sourcing and Consigned Parts

Philifast may, at Customer's request, procure components on behalf of Customer. When Philifast procures components, we will use bona fide suppliers; Customer is responsible for approval of costly or long‑lead items when requested. If Customer supplies parts ("consigned parts"), Customer warrants the parts are genuine and sufficient for production. We reserve the right to charge handling, inspection and storage fees for consigned parts or to refuse parts that do not meet our acceptance criteria.

8. Inspection, Acceptance and Testing

We perform standard production inspections and testing as specified in the quotation (e.g., visual inspection, AOI, flying probe, ICT, X‑ray, functional testing). Customer may request additional testing at extra cost. Unless otherwise agreed, Customer is responsible for providing test procedures, firmware and acceptance criteria. Delivery constitutes acceptance unless Customer provides written notice of non‑conformity within the inspection period agreed in the order.

9. Warranty

Philifast warrants that Goods manufactured by Philifast will conform to the agreed specifications at the time of delivery. This warranty does not apply to defects caused by Customer‑supplied materials, misuse, unauthorized modification, improper storage, or normal wear. If a valid warranty claim is made within the warranty period, Philifast's sole obligation will be, at our option, repair or replacement of defective Goods or a refund of the price paid for such Goods.

10. Returns, Cancellations and Refunds

Orders may be canceled prior to production commencement; cancellation after production start may incur charges for materials, labor and other costs incurred. Returns of Goods are accepted only by prior written agreement and may be subject to restocking or handling fees. Refunds will be processed after inspection and verification.

Return & Refund Procedure (RMA)

We accept returns or refunds for confirmed manufacturing defects, shipping damage, or non‑compliance with the confirmed specifications. Follow the steps below to submit a Return Request. Failure to follow the procedure may delay or invalidate your claim.

1. Submit a Return Request

  • Description of the Issue
  • Photos or test reports
  • Whether you request Replacement or Refund

2. Initial Assessment (1–3 business days)

Our engineering and quality team will review your submission and may request additional documentation or a sample board for inspection.

3. Return Authorization (RMA) Issued

If approved, we will issue an RMA Number and provide return shipping instructions. The RMA number must be clearly written on the return package.

4. Return Shipping

  • Customer pays return shipping if defects are not caused by Philifast.
  • Philifast pays return shipping for confirmed manufacturing defects.

5. Inspection After Receiving Returned Goods (5–10 business days)

We will perform electrical and visual inspections, cross‑section analysis, or other evaluations required to validate the claim.

6. Resolution

Upon validation:

  • Replacement: Replacement boards will be produced and shipped as soon as possible.
  • Refund: For confirmed Philifast manufacturing defects, a full refund will be issued for the defective units. For partial defects or cases involving customer error, a partial refund may be issued based on the defective rate.

Refund Calculation

- 100% refund for confirmed Philifast manufacturing defects on the affected units.
- Partial refund may apply where defects are caused or partially caused by Customer-supplied materials, incorrect files, or non‑conforming specifications. Any partial refund will be calculated based on the verified defective proportion.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Philifast's total aggregate liability arising out of or in connection with these Terms, whether in contract, tort (including negligence), or otherwise, shall be limited as follows:

  1. For any claim arising from a single Order, Philifast's total liability shall not exceed the lesser of (a) the total amount actually paid by Customer for that specific Order, or (b) USD 5,000.
  2. Philifast shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profit, loss of production, loss of business, or loss of goodwill, even if Philifast has been advised of the possibility of such damages.
  3. All quality claims must be submitted within 30 days after delivery; failure to timely notify Philifast of a claim may void the claim and any associated remedies.

12. Indemnification

Customer agrees to indemnify, defend and hold harmless Philifast and its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Customer's breach of these Terms;
  • Customer‑supplied materials, designs, or files (including but not limited to Gerber, BOM, PNP files) that are incorrect, incomplete, counterfeit or infringe third‑party rights;
  • Improper installation, misuse, modification or abnormal use of Goods by Customer or end‑users;
  • Violations of applicable laws by Customer related to the use, resale or export of Goods.

The aggregate indemnity obligation of the Customer under this Section shall be capped at USD 10,000 per claim, unless otherwise agreed in writing.

13. Intellectual Property and Confidentiality

All intellectual property rights in designs, drawings and data provided by Customer remain with Customer. Customer grants Philifast a non‑exclusive, royalty‑free license to use such IP solely to perform the Order. Both parties agree to keep confidential any non‑public business or technical information disclosed in connection with an Order and to use such information only for the purposes of performing the Order.

14. Export Controls and Restricted Countries

Customer represents and warrants that the Goods and any components, technology or software supplied by Philifast will not be exported, re‑exported or used in any manner that violates applicable export control laws or sanctions, including U.S. export control and sanctions laws. Shipments of components may be restricted or prohibited to certain countries. Philifast may refuse or cancel Orders if export to the destination is prohibited or restricted.

15. Data, Privacy and Project Files

Customer files and personal data uploaded or provided to Philifast will be processed in accordance with our Privacy Policy. Files required for manufacturing (Gerber, BOM, PNP) may be shared with subcontractors or suppliers strictly for fulfilment of the Order. Do not include sensitive personal data in uploaded files unless necessary. See our Privacy Policy for more information.

16. Force Majeure

Philifast shall not be liable for any delay or failure to perform arising from causes beyond our reasonable control, including but not limited to acts of God, pandemics, labor disputes, shortages of materials, supplier failures, governmental orders, transportation delays, or other force majeure events. In such events, we will notify Customer and take reasonable steps to mitigate the effects.

17. Insurance, Title and Risk of Loss

Title to Goods transfers as specified in the agreed Incoterm; risk of loss passes to Customer in accordance with the chosen shipping terms. Customer is encouraged to obtain appropriate insurance for transported Goods. Philifast may suspend performance until payment and insurance arrangements are confirmed.

18. Termination

Either party may terminate these Terms for material breach if the other party fails to cure such breach within thirty (30) days after written notice. Termination of these Terms does not affect accrued rights or obligations. Upon termination, Customer shall pay for all Services performed and materials purchased up to the effective date of termination.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Philifast is incorporated (unless otherwise agreed in writing). Any dispute arising under or in connection with these Terms shall be resolved by arbitration or the courts as set out in the order confirmation or applicable purchase agreement.

20. Notices

All notices required under these Terms shall be in writing and sent to Philifast at: [email protected] or to the address specified in the order confirmation. Notices are effective upon receipt.

21. Changes to Terms

Philifast may update these Terms from time to time. The updated Terms will be posted on our website and will be effective as of the posted effective date. Continued use of our Services after posting constitutes acceptance of the updated Terms.

22. Miscellaneous

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain effective. Neither party may assign these Terms without the other's written consent, except that Philifast may assign to an affiliate or purchaser of substantially all its assets.
